1. Definitions

In these Terms and Conditions, the following definitions apply:

• "SparkFlow" refers to the AI-powered HSE management software platform operated by SparkSupport Global Tech.
• "Company", "We", "Us", "Our" refers to SparkSupport Global Tech, incorporated in the United Arab Emirates, with its registered office at Building A1, Dubai Digital Park, Dubai Silicon Oasis, Dubai, UAE.
• "User", "You", "Your" refers to any individual or organisation accessing or using SparkFlow under a valid licence or trial agreement.
• "Platform" means the SparkFlow web application, mobile applications, and any related APIs or services.
• "Content" means data, text, images, documents, and other information you submit to the Platform.
• "Subscription" means a paid or trial licence to access and use the Platform.

2. Acceptance of Terms

By creating an account, clicking "Accept", or using the Platform in any capacity, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions, our Privacy Policy, and any additional guidelines we may publish from time to time.

If you are using SparkFlow on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms.

3. Licence and Access

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for your internal business operations related to Health, Safety, and Environment (HSE) management.

This licence does not permit you to:

• Sub-license, sell, resell, transfer, or assign access to the Platform to any third party.
• Modify, copy, or create derivative works based on the Platform.
• Reverse-engineer, decompile, or disassemble any part of the Platform.
• Use the Platform for any unlawful purpose or in violation of applicable regulations.
• Use automated tools (bots, scrapers, crawlers) to extract data from the Platform without prior written consent.

4. User Accounts and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Provide accurate, complete, and current registration information.
• Notify us immediately of any unauthorised use of your account.
• Ensure that all users within your organisation comply with these Terms.
• Not share account credentials between multiple individuals.

We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised or used in violation of these Terms.

5. Subscription, Fees, and Payment

Access to SparkFlow is available on a subscription basis. Fees are agreed at the time of contracting and are set out in your applicable Order Form or Statement of Work.

• All fees are non-refundable unless otherwise stated in writing.
• We reserve the right to change pricing with at least 30 days written notice before your renewal date.
• Late payments may result in suspension of access after a 14-day grace period.
• All amounts are exclusive of VAT, taxes, and duties unless stated otherwise.

6. Acceptable Use

You agree not to use the Platform to:

• Upload, transmit, or store content that is unlawful, harmful, defamatory, or infringes any third-party rights.
• Introduce malware, viruses, or any code designed to disrupt or damage the Platform.
• Attempt to gain unauthorised access to any system, network, or data.
• Impersonate any person or entity.
• Interfere with or disrupt the integrity or performance of the Platform.
• Use the Platform in any way that could expose us or our clients to legal liability.

7. Data and Content Ownership

You retain ownership of all Content you submit to the Platform. By submitting Content, you grant us a limited, non-exclusive, royalty-free licence to process, store, and use your Content solely to provide the Platform services to you.

We will not sell, share, or disclose your Content to third parties except as required to deliver the service or as required by law. Please refer to our Privacy Policy for full details of how we handle your data.

8. Intellectual Property

The Platform, including its software, design, trademarks, logos, and documentation, is owned by SparkSupport Global Tech and protected by intellectual property laws in the UAE and internationally. Nothing in these Terms transfers any intellectual property rights to you.

Any feedback, suggestions, or ideas you provide about the Platform may be used by us without restriction or compensation to you.

9. Availability and Support

We aim to provide the Platform with 99.5% monthly uptime, excluding scheduled maintenance windows. We will provide advance notice of planned downtime where reasonably practicable.

Support is available via [email protected] during business hours (Sunday to Thursday, 09:00-18:00 GST). Response times and SLA commitments are detailed in your service agreement.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

• We shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Platform.
• Our total aggregate liability in connection with these Terms shall not exceed the total fees paid by you in the 12 months preceding the claim.
• We make no warranties that the Platform will be error-free or that all defects will be corrected.

11. Indemnification

You agree to indemnify, defend, and hold harmless SparkSupport Global Tech, its officers, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of or in connection with your use of the Platform, your Content, or your breach of these Terms.

12. Termination

Either party may terminate the Subscription with written notice as specified in the relevant Order Form. We may suspend or terminate your access immediately if you materially breach these Terms and fail to remedy the breach within 7 days of written notice.

Upon termination, your licence to use the Platform will cease. We will retain your Content for 30 days after termination, after which it may be permanently deleted. You may request an export of your data before this window closes.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates. Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be referred to the exclusive jurisdiction of the courts of Dubai, UAE.

14. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page and notify active subscribers by email. Your continued use of the Platform after changes are posted constitutes acceptance of the revised Terms.
